Transparency





In this section, Fundació Privada Antoni Vila Casas, in addition to declaring its commitment to transparency, affirms its observance of Order JUS/152/2018, 12 September, which sets the level of compliance of foundations and associations declared to be of public interest with the instruments of transparency as established by the Catalan Law 21/2014, 29 December, on the protection of foundations and verification of the activity of associations declared to be of public interest.



Fundació Privada Antoni Vila Casas, NIF (tax identification number) G-58468125, is a private not-for-profit entity registered number 321 in the Registry of Private Foundations of the Department of Justice of the Generalitat de Catalunya (Catalan government). Classified as a cultural institution since 1987, it is subject to the special tax rules set out in Title II of the Law 49/2002, 23 December, on tax regulations for not-for-profit entities and the tax incentives for patronage.

Composition of governing bodies and management team

The Fundació Vila Casas team is made up of professionals from various fields, some closely connected to contemporary art and health, all of whom contribute to its rich diversity. From its headquarters on the first floor of Casa Felip, they run 5 art centres and the health related activities. Each museum and space also has its own director and team. See the teams for each museum and space in the following sections: Espai Volart, Espai Volart 2, Can Framis, Can Mario, Palau Solterra.


Board of trustees


The board of trustees is the governing body of the Fundació Vila Casas. Its members are drawn from several fields, with the emphasis on art and health. There are presently 7 members of the board.

Management, governance and organizational structure

The bodies that govern and manage Fundació Privada Antoni Vila Casas, including the Board of Trustees of the institution – as the highest level of governance and representation of the Foundation –, as well as the functions assigned to each one of them, are regulated in Chapter IV of the Statutes.

The Foundation has a General Director, whose main function is to develop the executive management of the institution.

Fundació Privada Antoni Vila Casas’ accounts are audited on an annual basis by an independent specialist firm with the aim of ensuring full and proper management of its assets.

The Foundation’s aims are laid out in Article 5 of the Statutes:

“The Foundation aims to promote and develop in Catalonia, its main territorial scope, the promotion and support for all types of cultural, artistic and scientific activities, in addition to medical, pharmacological, chemical and biological research, and the award of prizes, distinctions, scholarships, grants and subsidies for any kind of studies, exhibitions, experiences, performances, interventions and dissemination, within all the aforementioned fields of activity.

The objectives and purposes of the Foundation originate from the Founding President’s initiative undertaken under the belief that culture, tradition and language are the hallmarks of identity of a Country, and ours is Catalonia. The promotion and dissemination are carried out on the basis of two perspectives: artistic, through its art collections which include a collection of contemporary Catalan art within the historical period from 1945 to 2030, promoting and raising awareness of artists from our Country in our venues which should be consolidated as references points in three unique and exclusive artistic disciplines (painting, sculpture and photography), without the possibility of broadening them in order to avoid dispersion, with the award of prizes and the holding our own exhibitions; and health, encouraging calm, reasoned and objective opinion on health-related topics, by organizing meetings, studies, colloquia, conferences, publications, collaborations, aid, donations and contributions to hospitals and clinics.

The Foundation’s objectives must be achieved through the organizational structure, adequate and advance planning and the budgetary constraints applicable at the time, adhering to the criteria stipulated in these Statutes, striving for attention to detail and continuously improving the quality and pursuance of excellence in all activities carried out by the Foundation.”

“The mission of the Foundation will be developed in two areas. In the cultural field, it will focus on promoting and making culture and art accessible to the public, through the different venues and museums, which host cultural projects and artistic collections and contribute to the promotion of Catalan artists by exhibiting their works, organizing cultural events and awarding grants, scholarships, prizes or similar support. In the health field, the Foundation will promote and support scientific research and dialogue between healthcare professionals, the media and society.”

The activities carried out by the Foundation are outlined in Article 6 of the Statutes: “To achieve its founding objectives, the Foundation will develop the activities that the Board of Trustees deem necessary, directly and/or in collaboration with other entities, institutions or persons, in accordance with the regulations governing foundations. Specifically, with the aim of fulfilling its founding objectives, the Foundation will develop the activities which feature in the, by no means exhaustive, list: permanent exhibitions of painting, sculpture and photography by artists represented in the entity’s permanent collection; temporary exhibitions to promote emerging and established artists; exhibitions to disseminate work by art collectors; collaborations with public and private institutions to carry out travelling exhibitions; awarding painting, sculpture and photography prizes; awarding scholarships; research on health-related issues in the media; meetings and colloquia between the socio-health sector and the media, etc.

Activities related to the founding objectives must be carried out in accordance with the specific regulations governing them and, where applicable, by obtaining the corresponding permits or licences.”



I. Annual report


The annual report of Fundació Privada Antoni Vila Casas outlines the main activities and projects carried out during the year – exhibitions, conferences, educational service, diverse activities, prizes, projects and colloquia in the health field, incorporation of works of art in the collections, and publications, among others –, thereby offering an overall vision of the Foundation’s work.

The document reflects the way the Foundation supports artists, makes contemporary art accessible to society, promotes activities and projects in the health field and creates spaces for reflection and dialogue. In this section you can read all the annual reports published to date.

II. Annual programme

In this section we present Fundació Privada Antoni Vila Casas’ annual programme of exhibitions, laying out all the exhibitions that may be visited in the Foundation’s different venues throughout the year. The programme includes both solo and collective exhibitions, showing the diversity and vitality of contemporary art.

The annual programme enables you to plan visits and receive advance notice of the cultural activities organized by Fundació Privada Antoni Vila Casas.

Beneficiaries of the Foundation are those persons and entities specified in Article 8 of the statutes. As stipulated in Article 8, section 2, in the Statutes, the selection of beneficiaries will always respect the principles of impartiality and non-discrimination. More information about the number of beneficiaries, the selection criteria and the provision of services to them, can be found in the annual report of activities.

I. Code of Ethics

Fundació Privada Antoni Vila Casas upholds ethical and legally responsible conduct, and is committed to promoting such conduct among the other persons, institutions and entities with whom it interacts in the fulfilment of its objectives.

This Code of Ethics sets out the guidelines, ethical principles and rules of conduct which must guide the conduct of all professionals who, in one way or another, carry out their duties in the organization and promote actions that make it possible to achieve the Foundation’s objectives.

Therefore, the Code of Ethics constitutes a foundation upon which the corporate and compliance culture is built, a culture that is the responsibility of all members of the Foundation.

II. Code of Conduct for Temporary Financial Investments

Through this Code of Conduct, the Foundation reaffirms its commitment to responsible and transparent management of financial resources, based on good governance criteria and aimed at facilitating appropriate financial decision-making.

In this way, the Code strengthens the ethical framework of the entity and contributes to consolidating a culture of prudent management, consistent with the founding mission, which involves and commits all those who participate in the administration of its resources.

The system allows any person, internal or external to Fundació Privada Antoni Vila Casas, who is aware of any illegal offence or act, to report it to the Foundation.
